General terms and conditions
As of: July 2026
This is a courtesy translation for information only. The legally binding version is the German original.
1. Scope and contracting party
These terms apply to all contracts for English tutoring and exam preparation, and to the use of the online booking system, concluded between you and
Davit Hovakimyan, Kraygasse 94/2/6, 1220 Vienna, Austria
Email: davit18h@gmail.com · Phone: +43 676 397 5535
(hereinafter “we” / “The Green Pencil”). We do not accept any deviating terms unless we have expressly agreed to them in writing.
2. Subject of the contract
The subject of the contract is the provision of one-to-one English lessons (online or in person) and of an account in the booking system for scheduling lessons and managing purchased lessons (“lesson credits”). The exact scope, the available packages and the current prices are as shown on the website at the time of booking.
3. Conclusion of the contract
The packages and prices shown on the website are a non-binding invitation to make an offer. By booking or buying lessons, you make a binding offer. The contract is concluded when we confirm it (e.g. by a booking or payment confirmation by email, or by crediting the lessons to your account).
4. Prices and payment
The prices shown on the website at the time of booking apply. As teaching services of a private tutor, our services are exempt from VAT under § 6(1)(11) of the Austrian VAT Act (UStG); no VAT is charged. You can pay either through the payment provider Stripe (card payment) or as agreed directly with the tutor. We provide a receipt for every payment.
5. Lesson credits and validity
Purchased lessons are credited to your account and can be redeemed for lesson appointments. Lesson credits are valid for booking lessons for three years from purchase. This time limit allows lesson times to be planned and lessons to be organised across the school year.
After this period, the amount you paid is not forfeited: within the statutory limitation period, you can request a refund of the amount paid for lessons you have not yet redeemed. To that extent, no forfeiture clause applies to your detriment. Lesson credits cannot be transferred to third parties.
6. Appointments, cancellation and rescheduling
You book appointments through the booking system. You can cancel or reschedule an appointment free of charge up to 24 hours before the lesson starts. For later cancellations or if you do not show up, the lesson credit is forfeited so that the freed-up slot can be offered fairly to others. If we have to cancel an appointment for reasons within our control, the lesson will of course be credited back to you or a replacement appointment offered.
7. Right of withdrawal for consumers
If you are a consumer within the meaning of the Austrian Consumer Protection Act, you have a statutory right of withdrawal for contracts concluded online. The details, the deadline, the effects of withdrawal and a model withdrawal form can be found in our information on the right of withdrawal.
8. Minors
Where lessons are for students who are minors, the contract is concluded by their parents or legal guardians, or with their consent. The parents or legal guardians are responsible for fulfilling the contractual obligations (in particular payment).
9. Users’ obligations
You must provide truthful information when registering, keep your login details confidential and not misuse the booking system.
10. Warranty and liability
The statutory warranty provisions apply. We are liable without limitation for damage resulting from injury to life, body or health, and for intent and gross negligence. For slight negligence, we are only liable for breach of an essential contractual obligation, and only up to the damage that is typical and foreseeable for this type of contract. We do not guarantee any particular learning or exam result.
11. Data protection
Information on how we process your personal data can be found in our privacy policy.
12. Dispute resolution
The European Commission provides a platform for online dispute resolution (ODR): ec.europa.eu/consumers/odr. We are not obliged, and generally not willing, to take part in dispute resolution proceedings before a consumer arbitration body.
13. Final provisions
Austrian law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Mandatory consumer protection provisions of the country of your habitual residence remain unaffected. Should any provision of these terms be invalid, the validity of the remaining provisions remains unaffected.
